The content on this website is provided solely for informational and educational purposes and does not purport to be commercial, promotional, financial, legal, or professional advice. Users should not construe any content or information on this website as an offer, recommendation, endorsement, or solicitation to buy, sell, hold, or otherwise engage in any financial or commercial transaction, including in relation to the $CHZ token or any other crypto-asset. Chiliz Interactive Services explicitly disclaims any liability for actions taken by users based on the information presented. We encourage users to seek independent professional advice before making any decisions that may have financial, legal, or other implications.
Crypto-assets are subject to significant risks. Crypto-assets are considered as highly volatile assets and expose their holders to high risks of loss of value. Crypto-assets should only be traded by persons with sufficient knowledge and understanding of the underlying blockchain technology. Past performances are not an indicator of the future performances and you should not dedicate funds that you cannot afford to lose. You should familiarize yourself with the risks associated with transactions on blockchain networks, including but not limited to smart contract vulnerabilities, front-end vulnerabilities, hacks, phishing attacks, social engineering attacks, crypto-assets volatility and transaction irreversibility.
Any reference to the $CHZ token or any other crypto-asset is not directed at or intended for use by any person resident or located in the United States.
- Acceptance of the Terms of Use
These Terms of Use (“Terms of Use”) constitute a binding agreement between you, an individual user or visitor, whether personally or on behalf of an entity (“Visitor”, “User”, “you”, “your”) and Chiliz Interactive Services (“CIS”, “we”, or “us”). CIS is an entity registered under the Laws of the United Arabs Emirates, having its registered office at Office A, RAK DAO business Centre, RAK BANK ROC Office, Ground Floor, Al Rifaa, Sheikh Mohammed Bin Zayed Road, Ras Al Khaimah, United Arab Emirates.
The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the “Terms”), govern your access to and use of the https://www.chiliz.com website as well as any other media form, media channel, or mobile website related, linked, or otherwise connected thereto, published by CIS, including, but not limited to, any content, functionality, and services offered on or through these channels (collectively, the “Website”). Please read these Terms carefully before you start to use the Website. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound and abide by these Terms in addition to:

- our Cookie Policy, incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Website.
- Changes to the Terms of Use
We may revise and update these Terms at any time and for any reason, at our sole discretion. All changes are effective immediately, and we will alert you about any changes by updating the “Last updated” date indicated in the header of these Terms. Users waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.
You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Website after the date such revised Terms are posted. - Website Purpose
CIS purpose is to help fund and foster the development, growth, and raise awareness of the potential offered by blockchain technology and the Chiliz ecosystem built around the Chiliz Chain. The Chiliz Chain is an open, permissionless, decentralized Layer 1 EVM-compatible Proof-of-Stake-Authority protocol initially designed to support the Chiliz ecosystem. The Chiliz ecosystem is a decentralized, pioneering blockchain initiative initially focused on enhancing fan engagement in sports and entertainment.
- Acknowledgements
Visitors and Users of the Website are hereby informed that CIS holds no role as the issuer of any crypto-asset associated with the Chiliz ecosystem, nor does it function as the developer of the Chiliz Chain. Furthermore, CIS does not occupy any leadership or directive position within the Chiliz ecosystem, which is a collaborative and decentralized project propelled by the contributions of various independent actors.
While CIS endeavors to support and encourage the development and expansion of the Chiliz ecosystem through its actions, it does not exert control over or assume responsibility for the activities, decisions, or strategies implemented by the diverse participants within the Chiliz ecosystem. Users should, therefore, adjust their expectations accordingly and conduct their due diligence when engaging with the Chiliz ecosystem or making investment decisions based on information obtained through the Website or its associated channels.
Visitors and Users of the Website acknowledge that: (1) CIS is not the issuer of any crypto-asset; (2) CIS is not the developer of the Chiliz Chain; (3) CIS is not the head, director, or the driving force of the Chiliz ecosystem; and (4) the Chiliz ecosystem is a decentralized project developed by many actors at the same time, sometimes in collaboration, sometimes on their own. CIS does not direct these actors, but through its actions hopes to foster the growth of the Chiliz ecosystem.
- Who May Use the Website
The Website is intended for personal use only. While users of the Website are not required to be at least 18 years old, You acknowledge and accept that age restrictions may apply on third-party interfaces accessible via links provided on the Website, amongst other restrictions. You are solely responsible to ensure Your access and use of third-party interfaces comply with the terms and conditions applicable on the interface. If you use the Website on behalf of another person or entity, You acknowledge that: (a) all references to “you” throughout these Terms will include that person or entity; and (b) you represent that you are authorized to accept these Terms on that person’s or entity’s behalf.
The information provided on the Website is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. You acknowledge and agree that you have the financial and technical sophistication to properly use and interact with the Website and that you understand the inherent risks of blockchain technology. You understand that transacting in crypto-assets and applications utilizing crypto-assets is risky and may subject you to cyberattack, loss of crypto-assets, unknown exploits, smart contract risks, governance attacks, and other risks related to blockchain transactions. You also understand that transactions executed and settled via smart contracts are not reversible and you may not have recourse in the event of a malicious, fraudulent, or inadvertent transaction.
- Reliance on Information Posted
The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. Before engaging in any crypto-asset activity, you are strongly encouraged to do your own research. - Systematically retrieve data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm CIS or users of the Website or expose them to liability.
- To circumvent, disable, or otherwise interfere with security-related features of the Website, including features that prevent or restrict the use or copying of any content or enforce limitations on the use of the Website and/or the content contained therein.
- To engage in unauthorized framing of or linking to the Website.
- To trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server(s) on which the Website is stored, or any server, computer or database connected to the Website.

Therefore, the reproduction, copying, imitation, transformation, distribution, making available to the public and, in general, the mere use and any other form of exploitation, by any means or procedure, in whole or in part of the Contents of the Website is strictly prohibited without our prior written permission which may be obtained by emailing contact@chiliz.com. However, this does not mean that CIS, its licensors or other providers are obliged to grant such authorisation.
Reference to any products, services, processes or other information by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation by us.

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Arab Emirates, without giving effect to any choice or conflict of law provision or rule (whether of the United Arab Emirates or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the courts of the Emirate of Ras Al Khaimah, United Arab Emirates, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
- Indemnification
You agree to defend, indemnify, and hold harmless CIS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Websites, including, but not limited to, any use of the Websites’ content, services and products, intellectual property rights, other than as expressly authorized in these Terms of Use or your use of any information obtained from the Websites.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, CIS, AND ITS AFFILIATES, MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROPER FUNCTIONALITY, PERFORMANCE, SECURITY, AVAILABILITY, OR ERROR-FREE OPERATION OF THE CHILIZ CHAIN. CIS, AND ITS AFFILIATES, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, RELATED TO ANY DECENTRALISED APPLICATIONS (“dApps”) OPERATING ON OR INTERACTING WITH THE CHILIZ CHAIN, INCLUDING BUT NOT LIMITED TO THOSE CONCERNING STAKING, GOVERNANCE, OR ANY OTHER ASSOCIATED FEATURES. A digital wallet is necessary to acquire, hold, and dispose of any crypto-assets. Therefore, the loss of the requisite private key(s) associated with the digital wallet holding the crypto-assets will result in the loss of such assets. By choosing to store your crypto assets in a custodial wallet or service, you acknowledge and accept the inherent risks associated with such custody solutions. Custodial services hold the private keys to access your digital wallet and crypto-assets held thereof, meaning you rely on their security measures, operational integrity, and continuity to access and manage your crypto-assets. In the event of a security breach, insolvency, or regulatory actions against the custodian service, your assets may become inaccessible or lost. Any errors or malfunctions caused by or otherwise related to the digital wallet that you choose to receive and hold crypto-assets, including your own failure to properly maintain or use such digital wallet, or caused as a result of the choice of third-party service providers for the digital wallet, may also result in the loss of crypto-assets.
5. 51% Attacks
By engaging with blockchain technology, you acknowledge the theoretical risk of a 51% attack, wherein an entity or group of persons gains majority control of the network’s mining power, potentially compromising the integrity and security of the blockchain. Such control could allow for the alteration of transactions, double-spending, and disruptions in the consensus process. While measures are in place on many networks and platforms to mitigate this risk, no blockchain can be considered entirely immune. In the context of a Proof-of-Stake-Authority (PoSA) blockchain such as the Chiliz Chain, the risk of a 51% attack takes on a different dimension, given the consensus mechanism’s reliance on validators rather than mining power. A 51% attack in a PoSA ecosystem would require gaining control over a majority of the stake or authority within the network, potentially allowing for similar exploits as those in traditional mining-based blockchains.
